13. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to them or your use of the Site shall be governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising under these Terms shall first be submitted to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in English in the State of Texas, United States.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Nothing in this section limits Avyon's ability to pursue legal remedies against users who violate these Terms.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
14. Export Compliance
The Site and its Content may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). 16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without Avyon's prior written consent. Avyon may assign its rights and obligations under these Terms without restriction.
16.5 Force Majeure
Avyon shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including acts of God, natural disasters, government actions, war, terrorism, labor disputes, or failures of third-party infrastructure.
16.6 No Agency
These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Avyon. You have no authority to bind Avyon in any way.
